Autospend Consumer Card Terms — International

These Autospend Consumer Card Terms (the "Card Terms") are a binding agreement between you ("you" or "your") and the card issuer identified below ("Issuer," "we," "us," or "our"). Autospend (Stable Payments Inc., "Autospend") provides the technology platform and customer interface for access to the Autospend Card Program. The Card is issued by Signify Holdings, Inc. (or one of its regulated subsidiaries) under the Visa® network and program‑managed by Rain Holdings, Inc. Autospend is not a bank and does not itself issue cards or hold consumer funds.

Fees may be updated, added, or changed with notice as permitted by law and network rules. Some fees are network pass‑throughs and may vary by network and geography.
1. Background
The Autospend Card ("Card") is issued by the Issuer and provided in connection with your status as an Autospend customer, subject to these Card Terms and your separate Autospend User Agreement. Autospend provides the interface to view balances, manage cards, and initiate transactions. Autospend does not extend credit and is not the creditor under these Card Terms.
2. Defined Terms
- "Card Networks" means payment card networks (e.g., Visa or Mastercard).
- "Charge" means a payment for goods or services made to a merchant that accepts payments on the applicable Card Network.
- "Chargeback" means a dispute you initiate against a merchant for an unresolved dispute or an unauthorized Charge.
- "Issuer" means Signify Holdings, Inc. or one of its regulated subsidiaries issuing your Card.
- "Periodic Statement" means statements or in‑app activity views showing transactions, fees, and credits associated with your Card.
- "Supported Blockchains" currently include Ethereum, Polygon, Optimism, Arbitrum and others disclosed in‑app before use.
3. Accepting these Terms & Eligibility
These Card Terms become effective when you activate or create your Card through the Autospend platform. By using the Card, you represent and warrant that (i) you are at least the age of majority in your jurisdiction; (ii) you are not a person blocked or sanctioned by the United States (including OFAC lists); (iii) all information you provide is true, complete, and accurate; (iv) you will use the Card only as permitted by these Card Terms and applicable law; and (v) you are not a U.S. resident for purposes of these International terms (U.S. residents must use the U.S. Card Terms).
4. Funding, Spending & Limits (No Credit Line)
The Card is a spend‑from‑balance product. Your ability to transact is limited to the available balance funded into your Card account via supported stablecoins (e.g., USDC, USDT) and networks. Authorizations may include temporary holds (e.g., fuel pumps, hotels) that reduce your available balance until final settlement. Autospend, the Issuer, the Program Manager, or the Card Network may set per‑transaction or aggregate limits and may change limits at any time to manage risk or comply with law.
5. Prohibited Uses & Compliance
You may not use the Card for any unlawful purpose, including money laundering, terrorist financing, proliferation financing, sanctions violations, or transactions with blocked persons or jurisdictions. Autospend, Issuer, and Program Manager comply with applicable AML/CFT, sanctions, and network rules, and may block, hold, reverse, or report transactions and related information to competent authorities where required or appropriate.
6. Purchases & Cash‑Like Transactions
You may use your Card to purchase goods and services at merchants that accept your Card Network. Cash advances and balance transfers are not available. We may limit the type, number, or dollar amount of transactions, including cash‑like transactions (e.g., money orders, person‑to‑person transfers, gambling, lottery, or crypto purchases) as permitted by law and network rules.
7. Currency Conversion & International Transactions
If you transact in a currency other than USD, the Card Network converts the transaction to USD using the rate selected by the network on the processing date. A network FX fee (up to 2%) may apply, and an international processing fee of $0.30 per transaction may apply. Merchants or third parties may perform their own conversions at rates they select before submitting to the network.
8. Disputes, Chargebacks & Fees
You must review your activity and promptly identify any unauthorized or disputed Charges. Start with the merchant; if unresolved, initiate a chargeback within 60 days of the posting date. We may require supporting documents to review your dispute. Dispute processing may incur a $30 fee. Pending disputes do not pause applicable fees where permitted by law.
9. Security & Unauthorized Use
You are responsible for safeguarding your Card, account credentials, and authentication methods. Immediately notify Autospend support if your Card is lost, stolen, or compromised. Network and legal limitations on liability for unauthorized use may apply after notice is given; before notice, you may be responsible for losses.
10. Program Losses, Offsets & Reserve
Autospend and/or Issuer may offset amounts you owe (including chargebacks, fraud losses, or network assessments) against your available balance or settlements. Autospend may maintain a program reserve with Issuer/Program Manager; funds may be held or delayed to maintain reserves or cover expected program losses.
11. Replacements & Card Management
We may limit the number of physical or virtual cards, or decline replacement requests. Replacement cards may require updating card details on file with merchants for recurring payments.
12. Suspension, Termination & Changes
Subject to applicable law, Autospend, Issuer, or Program Manager may suspend, revoke, or cancel Card privileges at any time for risk, fraud, compliance, or operational reasons, with or without notice. Changes to these Card Terms may be made with the required notice, as required by law. Continued use of the Card after changes become effective constitutes acceptance.
13. Indemnification
You agree to indemnify and hold harmless Autospend, Issuer, Program Manager, and their affiliates, officers, directors, employees, and agents from any losses, liabilities, penalties, claims, costs, and expenses (including reasonable attorneys' fees) arising from your breach of these Card Terms, violation of law, fraudulent or willful misconduct, or misuse of the Card.
14. Limitation of Liability
To the fullest extent permitted by law, Autospend, Issuer, and Program Manager will not be liable for indirect, incidental, consequential, exemplary, punitive, or special damages, or lost profits or revenues, even if advised of the possibility. In no event will aggregate liability exceed $100.
15. Governing Law; Arbitration; Class Waiver
These Card Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflicts of laws principles. Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The venue may be in Delaware or, by agreement, conducted remotely. Arbitration is on an individual basis only; class, collective, or representative proceedings are not permitted. If a court finds the class waiver unenforceable, the arbitration provision shall be void, and disputes will be litigated exclusively in the courts of Delaware.
